Zhipu Unveils $5 Billion Equity and Convertible Bond Financing

Zhipu said it has launched roughly $5 billion in financing through a Hong Kong share placement and a convertible bond issuance, with the proceeds set to fund research and development, computing resources, infrastructure, expansion, strategic investments and potential mergers and acquisitions.

According to the company’s disclosure, the package includes about $2 billion in Hong Kong stock placement and about $3 billion in convertible bonds, for a combined total of around $5 billion. Zhipu will issue 21.97 million new shares at HKD 714 each, a price set about 10% below the September 11 closing price of HKD 793.

Zhipu also plans to issue zero-coupon convertible bonds worth RMB 20.14 billion, or about $3 billion, with maturity in September 2027. The bonds will be issued at between 100% and 100.5% of face value, implying a yield of between -0.5% and 0%. The initial conversion price is HKD 892.5, which the company said represents a 25% premium to the placement price.

The company said the stock placement and bond issuance will take place simultaneously, but completion of one transaction does not depend on completion of the other. That makes investor reception to each leg of the financing a separate point of focus, particularly given the size of the offering and the different risk profiles of equity and convertible debt buyers.

Zhipu said the proceeds will primarily be used for research and development, computing resources and related infrastructure. The company also said the funds may be used for business expansion, strategic investments, potential mergers and acquisitions, working capital and other general corporate purposes.

Why It Matters

The financing underscores how aggressively AI companies are turning to capital markets to fund model development and compute infrastructure. For the broader digital asset market, that matters less as a direct crypto catalyst than as a signal of continued competition for capital, chips and data-center capacity across the wider AI and technology stack.

It also highlights the growing use of hybrid financing structures in AI, where companies balance immediate equity funding with convertible debt to extend flexibility. If more AI firms pursue similar fundraising, markets may increasingly focus on how capital is allocated between core model development, infrastructure ownership and expansion through acquisitions.
