Smarter Web Weighs London Listing for New Preferred Shares

The Smarter Web Company said it is considering issuing preferred shares under the reserved code MORE, with plans to seek a listing on the London Stock Exchange’s main market and hold a special shareholder meeting on September 28 to approve the required authorizations.
The company said the proposed preferred shares would carry cumulative variable-rate weekly preferred dividends and liquidation preference, but no voting rights. It is targeting proceeds of between £15 million and £25 million.
According to the company, dividend payments could be supported by operating cash flow, its Bitcoin treasury, and capital market fundraising. That makes the proposed instrument notable not only as a financing vehicle, but also for how directly it ties shareholder returns to a treasury model that includes bitcoin alongside conventional corporate funding sources.
Chief Executive Andrew Webley said that, if approved, the transaction would mark the first perpetual preferred shares issued by a company with a Bitcoin treasury strategy to be listed on the London Stock Exchange’s main market. The company has not yet disclosed final pricing, the eventual dividend formula, or the timetable for any completed issuance beyond the planned shareholder meeting.
The proposal follows a broader pattern in which listed companies experiment with capital structures built around digital-asset treasuries. In this case, The Smarter Web Company is trying to pair a public-market preferred equity product with a treasury strategy that includes bitcoin, rather than relying only on common equity or convertible financing.

The plan is relevant because it pushes the Bitcoin treasury story beyond balance-sheet accumulation and into funding design. If completed, it would show how a listed company can use a more specialized security to raise capital while linking investor economics to both traditional corporate cash generation and crypto treasury management.
It also adds a UK public-market angle to a theme that has been more visible in other jurisdictions. A main-market London listing for this kind of instrument could broaden the range of structures investors watch as crypto-linked treasury strategies move deeper into public-company finance.
